Terms of Use

1. Introduction

Plango is a mobile and web application, which helps users to plan and schedule social activities with friends (the "Services" or "Plango Services"). Plango is being developed and provided by GoAct, Inc ("we", "us", or "our"). Your use of the site is subject to certain terms and conditions necessary for us to develop and maintain the service in a manner, which is safe and responsible. The terms and conditions set forth below ("Terms of Use"), as well as the privacy policy set forth at www.myplango.com/privacypolicy, apply to your use of the Services.

By accessing and using the Site, you acknowledge that you have read, understood, and agreed to be bound by these Tems of Use and Privacy Policy. If you do not agree the Terms of Use or the Privacy Policy, you are not authorized to use the Site. We may modify these Terms of Use or Privacy Policy at any time. Such modification will become effective at the time it is updated to the Services.

2. Plango Service

With Plango you can setup private group activities on the go. When you invite friends to plans, all invited participants will receive either a push notification (native Plango application users) or an SMS message (new users or Plango mobile web users). SMS invitation contains a URL to a private plan page, which contains the plan details, RSVP actions, and commenting. Recipients are authenticated using the unique URL they receive.

Plango users can establish friend relationships by inviting other Plango users or new users to become their friends. Friend relationship allows sharing plans within the friend graph of the plan organizer.

Plango provides native mobile application, mobile web, and full web interfaces with messaging and calendar functionality for signed up users.

3. Basic Terms

You may not use the Services if you are under 13.

You are responsible for safeguarding your password and for any actions that are performed with your account.

You may not use the Services for any unlawful purpose or activity. You agree to comply with all local laws.

You may not impersonate other through the Services.

You may not post other people's private or personal data to the Services without their explicit permission.

You may not use the site in the purpose of spamming anyone.

You may not publish or link to malicious content intended to damage or disrupt another user's browser or computer or to compromise the user's privacy.

You may not tamper or breach GoAct computer systems or systems hosted by third-party hosting providers for running the Services.

We may without prior notice at any time discontinue the service, change the contents or features of the Site, or create limits for the usage.

4. Contents

You are completely responsible for all the contents that you make available via the Services. You agree that under no circumstances will GoAct be liable in any way for any contents or any loss or damage of any kind incurred as a result of the use of any contents made available via the Services.

You retain your rights to any Content you submit through the Services. By submitting Content through the Services, you grant us a worldwide, non- exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, a dapt, modify, publish, transmit, display and distribute such Content in any and all media or distribution methods (now known or later developed).

You acknowledge that GoAct shall have the right but not the obligation in its sole discretion to refuse, delete or move any content that is available via the Services, for violating the letter or spirit of the Terms or for any other reason.

5. Third-Party Links

The Services may provide links to other Internet websites or resources. Because GoAct has no control over such websites and resources, you acknowledge and agree that GoAct is not responsible for the availability of such websites or resources, and does not endorse and is not responsible or liable for any content, advertising, products, services or other materials on or available from such websites or resources. You further acknowledge and agree that GoAct shall not be responsible or liable for any damage or loss caused or alleged to be caused by or in connection with any use of or reliance on any such Content, advertising, products, services or other materials available on or through any such website or resource.

6. Copyright Infringements

If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible via the Services, please notify us by providing the following information:

1. identification of the original work that is infringed;

2. identification of the content in the Services that is infringing the original work;

3. your contact information including the full name, phone number, address, and email address;

4. statement that you have a good faith belief that the complained use of the material is not authorized by the copyright owner, its agent, or law;

and

5. statement that the above information is accurate, and that you are the copyright owner or are authorized to act on behalf of the owner.

7. No Commercial Re-Use of the Service

You agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purposes, any portion or use of, or access to, the Service, including content, advertisement, and software.

8. Privacy

We value your privacy. Please read our Privacy Policy for information on how we collect, use and store information about you in GoAct Services.

9. Indemnity

You agree to indemnify and hold GoAct and its directors, employees, agents, partners, suppliers and content providers harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Content you submit, post, transmit, modify or otherwise make available through the Service, your use of the Service, or your violation of any rights of another.

10. Disclaimers

The service is provided on an "as is" and "as available" basis. GoAct hereby expressly disclaims all warranties of any kind, express or implied, including, but not limited to implied warranties of merchantability, title, non-infringement and fitness for a particular purpose.

11. Limitation of Liability

In no event shall GoAct, nor its directors, employees, agents, partners, suppliers or content providers, be liable under contract, tort, strict liability, neglience or any other legal or equitable theory with respect to the Service.

12. Generals Terms and Choice of Law

These Terms of Use shall be governed by the laws of Finland without regard to its conflict of law provisions.

This agreement is the explicit and entire agreement between GoAct and you regarding the Service.
